This website (“Site”) is owned and operated by CodeBlack Ltd (C94904) trading as EventWorks. Throughout these terms and conditions (“Terms”), the words “EventWorks”, “we”, “us” and “our” refer to EventWorks and its associated entities. On the other hand, the word “you” and “user” refers to the individual accessing and/or using the Site.
These Terms govern the relationship between you and EventWorks. By making use of this Site, you are hereby agreeing to the following Terms. If you choose not to be bound by the Terms, then you must not use or purchase Tickets and/or other products, as the case may be, from the Site.
EventWorks may amend and/or update these Terms at any time as it may deem necessary. Any new Terms as amended and/or updates shall be available on this Site and shall be effective immediately. Should you not agree with the new Terms, please refrain from using the Site accordingly. By continuing to use the Site after the amended and/or updated Terms are posted, you agree to be bound said Terms.
1. Who we are and what we do
1.1. EventWorks facilitates the sale of Tickets for event organisers and planners (“Organisers”) by allowing said Organisers to create an event page on the Site from which tickets and/or other products (“Ticket/s”) can be purchased by you (“Event Page”). EventWorks also gives Organisers access to a secure payment gateway. Except as specified in these Terms, we are not liable for any dispute over an event or a Ticket purchase.
1.2. We are not acting on behalf of the Organisers and are not their agents. We are not responsible for organising or delivering the events themselves. EventWorks does not establish Ticket prices as these are set by Organisers directly.
1.3. Details of the Organiser can be found on their Event Page. There may be additional terms and conditions (“Event Terms”) imposed by an Organiser or venue operator in respect of an event for which you purchase Tickets. It is your responsibility to review the Event Terms prior to such purchase.
1.4. Any claims with respect to the purchase of Tickets or membership registrations (including cancellation, variation, or postponement of events) lie solely with the Organiser and to the extent permitted by law, EventWorks takes no responsibility or liability for such claims.
2. Ticket Price
2.1. The price of the Ticket shown on the sales channels shall exclude any fees which are due to EventWorks (‘Booking Fees’). Booking Fees may include, but are not limited to, a per-ticket service fee and/or a per order processing fee. Booking Fees can be changed by the EventWorks at any time, but changes shall never apply retroactively.
2.2. For the purposes of these Terms, sales channels shall mean all websites and/or applications making use of the service and/or software provided by EventWorks to make the sale of Tickets possible.
2.3. Besides the Ticket Price, EventWorks may charge additional fees due to it, such as the Booking Fees, delivery fees and/or printing fees (if applicable). Any such additional fees will be made known to you in advance prior to confirming the order of the Ticket/s (“Ticket Order”).
2.4. Booking Fees may be charged per Ticket and/or per complete Ticket Order.
3. Purchasing of Tickets and registrations
3.1. Unless stated otherwise on the Event Page, you must be over the age of 17 to purchase an event Ticket.
3.2. EventWorks reserves the right to cancel any Ticket and refund the amount paid in full where there has been an error in Ticket pricing, whether due to human error or a transactional malfunction of the Site. If possible (depending on the availability of Ticket/s), we subsequently offer to rectify such an error by re-processing the transaction with the correct Ticket pricing.
3.3. The Organiser has the right to add or vary the advertised program, seating arrangements and audience capacity and deny admission with reasonable cause including due to intoxication, unsociable behaviour, failing to observe lawful directions, possession of invalid or insufficient Tickets or ID or health and safety precautions.
3.4. You are responsible for having your Tickets, as purchased through EventWorks, available at the event. No refunds, substitute tickets or exchanges are provided for lost or stolen Tickets or for a failure on your part to present the Ticket at the event. It is your responsibility to provide correct e-Ticket information (email address) to allow adequate time for the delivery of Tickets.
4. Payment
4.1. All credit card purchases are processed through our secure online payment system which are Stripe and Mangopay.

4.3. Every Ticket purchased on the Site is subject to the above mentioned non-refundable Booking Fee which will be added to the base Ticket price.
4.4. Unless stated otherwise, charges referred to for any Tickets or registrations supplied via the Site are stated inclusive of VAT. A tax invoice will be provided to you upon completing your purchase of Tickets.
4.5. All prices are stated in the currency of the Event.
5. Cancelled, varied or postponed Events
5.1. The Organiser is responsible and liable for providing any refund or comparable Ticket where an event is cancelled, varied or postponed. You should check the terms of sale of the Organiser with respect to its policy on cancelled, varied or postponed events.
5.2. In order for the Organiser to be able to contact you with regard to information relating to your Tickets or the event, we may be required to pass on your contact information. We do not authorise the Organiser to send you any unsolicited emails, mail or “spam”.
The Organiser shall (unless otherwise agreed) notify Ticket holders of a cancellation, variation or postponement, with such notification being made by text, via email, via social media platforms and/or through any other means available. It is your responsibility to ascertain whether an event has been cancelled, varied or postponed.
6. Event Notifications
6.1. By agreeing to these Terms, you are hereby agreeing to receive notifications of events from EventWorks. Should you wish to turn off/on (as the case may be) such notifications, you may do so through the application or profile.
7. Exchanges and refunds
7.1. All Ticket sales are final.
7.2. Unless otherwise stated by the Organisers in the Event Page, Tickets cannot be exchanged, refunded, or cancelled after purchase.
7.3. For clarification, you are not entitled to a refund:
a) If your Ticket is lost, stolen or damaged (including if it is lost in the mail), we are not required to replace it unless we can identify the seat corresponding to the Ticket, or;
b) If delivery of Ticket is refused, returned, missed, unclaimed or fails because of your failure to provide correct and complete delivery information and/or failure to ensure you are available to receive delivery of Ticket (whether physically or via email, as applicable), including ensuring that your mailbox does not reject, bounce, or otherwise prevent any relevant email from being delivered, or;
c) in the case of a general admission Ticket we can identify and cancel the relevant Ticket.
We may charge a reasonable administration fee in these circumstances.
8. Exclusion of the right of revocation
8.1. The right of revocation is expressly excluded from the sale of Tickets. This means that the Buyer does not have a 14-day cooling off period to cancel or return the Ticket Order at no cost. This applies to Tickets for which the Organiser must consider a certain capacity or offer transport of goods, car rental services, catering, and services related to leisure activities, and if the agreement between the Buyer and the Organiser includes a certain period of fulfilment, including, but not limited to, lockers.
8.2. Orders that are not covered by the above description of purposes are governed by the conditions of the Organiser.
8.3. If possible, changes to the Ticket Order can be requested through EventWorks customer service or by contact the Organiser directly. The Organiser or Service Provider can reject or accept the request, potentially charging additional costs. The Buyer can possibly invoke the optional Refund Protection Insurance or Refundable Ticket Surcharge insofar as the Reservation Protection Firm provides compensation for these costs (damage) based on its conditions. The Buyer must contact the Reservation Protection Firm directly in this case.
9. Unauthorised Use
9.1. The following are examples of unauthorised use of the Site and therefore such actions constitute a breach of these Terms. You agree that you will not:
a) facilitate illegal ticket sales or use the Site to resell tickets of any kind, including by way of unauthorised framing or links to other sites for the purpose of reselling;
b) interfere with the proper working of the Site or take any action that imposes an unreasonably large burden on the Site;
c) hack into the Site or utilise automated means to process or place ticket orders including the use of robots, spiders or other devices to process ticket sales.
10. Permitted Use of the Site
10.1. You may use the Site for your personal use only. You may make a temporary copy of all or part of the Site on your local computer for the sole purpose of viewing it. You may also retain a single permanent copy of a part of the Site for your personal use (including to purchase Tickets).
10.2. You may not otherwise in any form copy, reproduce, modify, create derivative works, publish or distribute the material on the Site without the prior written consent of EventWorks or as permitted by applicable copyright laws.
10.3. All content, images, software and designs on the Site (“Content”) are owned by us or used under licence or with consent, including from event organisers. The Content is protected by copyright under the laws of Malta and other countries through international treaties. You must not remove any proprietary notice or credits contained on the Site.
10.4. The Site contains trademarks, logos and trade names of EventWorks, which may be registered or otherwise protected by law. You must not use any trademarks, logos or trade names which are used on the Site. Nothing contained on this Site should be construed as granting any licence or right to use any trademark displayed on the Site.
10.5. We reserve all of our rights to enforce our intellectual property rights to the fullest extent of the law.
11. Privacy Policy
11.1. EventWorks is committed to protecting and respecting your privacy and complies with all applicable data protection laws. For more information on how and why we process your data, together with your respective rights, please review our ‘Privacy Policy’.
12. Breach of Terms
12.1. If you breach these Terms or we believe you are or were acting in concert with any person who has done so, we may without prior notice, depending on the seriousness of the case:
a) block or limit your access to the Site;
b) cancel any Tickets, registrations or Ticket orders you have placed via the Site without refund;
c) take legal action against you; and/or
d) prohibit you from future Ticket or registration purchases;
13. Disclaimer of Warranties
13.1. You use the Site at your own risk.
13.2. The Site and its content are delivered on an ‘as-is’ and ‘as-available’ basis.
13.3. We do not guarantee, represent or warrant that the Site will be free of defects or bugs, or that your access will be uninterrupted, timely or error-free. Your access to the Site may be suspended without notice in the case of system failure, maintenance or repair or any reason other reason.
13.4. We reserve the right to change or discontinue any feature or service on the Site at any time.
13.5. To the extent permitted by law, we exclude all conditions and warranties relating to your use of the Site that are not set out in these Terms.
14. Limitation of Liability
14.1. In relation to any express warranty or condition set out in these Terms in connection with the Tickets offered by us via the Site, our liability to you will be limited to the Booking Fee paid by you (if any) in respect of those Tickets. This shall be without prejudice to the user’s right of recourse against the Organiser for the amount(s) paid for the Tickets.
14.2. EventWorks disclaims any and all liability for the acts, omissions and conduct of any event organisers, third party users, promoters, advertisers and/or sponsors on the Site or otherwise related to your use of the Site.
14.3. We are not responsible for the products, services, actions or failure to act of any venue, performer, promoter or other third party in connection with or referenced on the Site.
14.4. Without limiting the foregoing, you expressly acknowledge and agree that we will have no liability or responsibility whatsoever for:
(a) any failure of another user of the Site to conform to the codes of conduct.
(b) personal injury or property damage, of any nature whatsoever, whether arising in contract or in tort, resulting from your access to and use of our Site,
(c) any unauthorized access to or use of our secure servers and/or any and all personal information and/or financial information stored therein,
(d) any bugs, viruses, worms, trojan horses, defects, date bombs, time bombs, or other items of a destructive nature which may be transmitted to or through our site,
(e) any errors, mistakes, inaccuracies, or omissions in any content, or
(f) any lost, stolen, or damaged tickets, or the failure of a venue to honour a ticket.
15. Indemnity
15.1. You agree to fully indemnify and hold EventWorks and its associated entities harmless from any expenses, costs, loss (including consequential loss) or damage that we may suffer or incur as a result of or in connection with your use of, or access to or conduct in connection with the Site, including any breach by you of these Terms.
16. Governing Law and Jurisdiction
16.1. The Terms shall in all respects be governed by the laws of Malta. You consent to the exclusive jurisdiction of the courts in Malta to determine any matter or dispute which arises under the User Terms. We reserve the right to take exclusive control and defence of any claim, and you will cooperate fully with us in asserting any available defences.
17. Severability
17.1. If any provision of the Terms is deemed invalid or unenforceable, all or part of that provision will be severed from the Terms and will not affect the enforceability of the remaining provisions of the Terms.
17.2. No waiver of any term of the Terms shall be deemed a further or continuing waiver of such term or any other term. Any failure to assert any right under the Terms shall not constitute a waiver of such right.
